IDBI Bank Stake: Ministry Cites 2003 Repeal Act and Court Ruling
The Finance Ministry said on 17 October 2026 that the IDBI (Repeal) Act, 2003 carries no bar on the Government reducing or divesting its stake in IDBI Bank.

Why in News
On 17 October 2026 the Ministry of Finance issued a clarification on the legislative history of the Government's shareholding in IDBI Bank, citing the IDBI (Repeal) Act, 2003, the Delhi High Court judgment of 17 December 2018 and successive Union Budget speeches.
The Ministry of Finance issued a clarification on 17 October 2026 on the legal position that governs the Government's shareholding in IDBI Bank. The note followed media comment on what was said in Parliament in 2003. The ministry's position is that the law as finally passed places no restriction on the Government cutting or selling its holding in the bank.
Why the clarification came
Sections of the press had carried views on the legislative developments of 2003 relating to the Government's stake in IDBI. The ministry set out the sequence again. While the Union Budget of 2003 was under discussion, and Parliament was debating the IDBI (Repeal) Act, 2003, an amendment was moved that would have capped any dilution of the Government's holding. That amendment was turned down and never entered the statute Parliament enacted.
What the Delhi High Court decided
The question later reached the Delhi High Court in All India IDBI Officers' Association versus Union of India and Others, decided on 17 December 2018. The court dismissed the writ petition. In paragraphs 41 and 42 of its judgment it reasoned that assurances offered on the floor of the House some 15 years earlier, in the course of a legislative debate, could not stop the Central Government from trimming its holding in the company. Parliament, the court observed, had been conscious of leaving the proposed proviso out, and a speech in the House cannot displace or override the text of a law. The court also found the language of the Act free of ambiguity, with nothing in it that forbids a reduction or a divestment of the Government's stake.
Promissory estoppel ruled out
The ruling matters for the doctrine it addresses. The challenge had rested on promissory estoppel, the argument that a promise made in Parliament binds the Government. The court held the doctrine wholly inapplicable here, because the statements were made while a law was being enacted and did not amount to a representation on which the employees had acted to their own prejudice.
Policy in the Budget speeches
The ministry traced the policy through two Budget speeches. In the Union Budget 2016-17 speech, paragraph 93, the then Finance Minister Arun Jaitley said the Bank Board Bureau would be made operational that year, a roadmap for consolidating public sector banks would be spelt out, the transformation of IDBI Bank had already begun, and the Government would consider bringing its stake below 50 per cent. In the Union Budget 2021-22 speech, paragraph 84, the then Finance Minister Nirmala Sitharaman listed strategic disinvestment transactions to be completed that year covering Air India, BPCL, Shipping Corporation of India, Container Corporation of India, BEML, Pawan Hans, Neelachal Ispat Nigam Limited and IDBI Bank itself, and proposed the privatisation of two more public sector banks and one general insurance company, for which legislative amendments were to be introduced.
