Why in News

On 31 October 2026 the Competition Commission of India cleared two power sector acquisitions: Adani Energy Solutions' purchase of IntelliSmart Infrastructure from NIIF and EESL, and Aditya Birla Renewables' purchase of Solenergi Power from Shell Overseas Investment B.V.

The Competition Commission of India (CCI) cleared two power sector purchases on 31 October 2026, one in electricity metering and one in renewable generation.

Adani Energy Solutions and IntelliSmart

The regulator allowed Adani Energy Solutions Limited to buy the whole equity share capital of IntelliSmart Infrastructure Private Limited. Two sellers are parting with the stake. The National Investment and Infrastructure Fund (NIIF) is named in the notice as Seller 1 and Energy Efficiency Services Limited (EESL) as Seller 2. The size of the stake changing hands is 100%.

The buyer belongs to the Adani Group, is incorporated in India and is listed both on BSE Limited and on the National Stock Exchange of India Limited. Its work lies in carrying and supplying electricity and in putting up advanced metering infrastructure. The firm it is buying is in the same metering business and also installs smart gas meters in the country.

Aditya Birla Renewables and Solenergi Power

In a separate order the Commission approved the purchase by Aditya Birla Renewables Limited of 100% of the issued share capital of Solenergi Power Private Limited. The seller here is Shell Overseas Investment B.V.

Solenergi Power is registered in Mauritius and is only a holding company, with no other line of business. It is present in India in two ways: through certain holding entities below it, and through companies that make electricity from solar and wind. The buyer, counting its own subsidiaries, generates solar and wind power and also carries out captive engineering, procurement and construction, shortened to EPC.

Why the regulator comes in

A merger or an acquisition that crosses the limits fixed in law cannot be closed until the Competition Commission of India has looked at it. The Commission studies whether the deal would weaken competition in the market concerned. Both of these combinations have passed that test, so the parties are free to complete them. For an aspirant, the point to hold on to is that the CCI is India's competition regulator and that its clearance is the last gate before such takeovers are sealed.
